This letter is intended to amend paragraphs 3(a) and 3(b) of that certain Letter Agreement dated April 23, 2007 (the “Letter Agreement”) by and between Centaurus One LLC (“Centaurus”) and TIX Corp. (“TIX”). The parties hereto agree that paragraphs 3(a) and 3(b) of the Letter Agreement are hereby amended by substituting in their entirety the following new paragraphs 3(a) and 3(b):

This Letter of Agreement (the “Agreement”) is provided to define the terms and conditions under which your company, TIX Corp. (“TIX”), is retaining Centaurus One, LLC (“Centaurus”) to provide business consulting services. Upon your execution of this Letter of Agreement where indicated below, the following terms and conditions in this Agreement shall be binding on all parties concerned:

This letter shall serve as an Agreement between TIX Corporation (“TIX”) and Sammy’s Tickets, Inc. (“ST”); and the term of this Agreement shall be for a period of one (1) year, commencing April 1, 2007, and ending March 31, 2008 (the “Term”).

This Consulting Agreement (“the Agreement”) made effective as of July 5, 2007 by and between Tix Corporation with its principal offices at 12001 Ventura Place, Studio City, Ca 91604, (the “Company”) and ARD Partners, LLC (herein the “CONSULTANT”), with principal offices at 9 Antastasia Ct., Palm Coast, Florida 32137.
