This Amendment No. 1 dated as of October 26, 2007, by and between Ionatron, Inc. (the “Company”) and Dana A. Marshall (the “Executive”) amends the Employment Agreement entered into on August 18, 2006 by and between the Company and the Executive (the “Agreement”).
