This Stock Purchase Agreement (this "Agreement") is made and entered into as of 24th day of October 2007, by and between Kexin Xiao (the “Party A”), Wei Li (the “Party B”) and Kiwa Bio-Tech Products Group Corporation (the “Company”), a company incorporated under the laws of the State of Delaware in the United States of America whose registered office is at 415 W. Foothill Blvd, Suite# 206, Claremont CA 91711, USA.
