THIS AGREEMENT AND PLAN OF MERGER (this "Merger Agreement") is made this 27th day of September 2007 by and between Bonanza One, Inc., a Nevada corporation ("BONANZA-NEVADA" or the “Surviving Corporation”), and Bonanza One, Inc., a Delaware corporation ("BONANZA-DELAWARE"). BONANZA-Nevada and BONANZA-Delaware are hereinafter sometimes collectively referred to as the "Constituent Corporations."
