This Exclusive Master Purchase Agreement ("Agreement") is entered into and is effective as of November 9, 2007 ("Effective Date") by and between MILLENNIUM BIOTECHNOLOGIES, INC. a Delaware corporation (a wholly owned subsidiary of "Millennium Biotechnologies Group, Inc.") having its principal place of business at 665 Martinsville Road, Suite 219, Basking Ridge, NJ 07920 (hereinafter referred to as "MBI") and PROVIDER SERVICES, INC., an Ohio corporation having its principal place of business at 22021 Brook Park Road, Fairview Park, OH 44126 (hereinafter referred to as "PSI").
