THIS ASSIGNMENT, CONVEYANCE AND BILL OF SALE (the “Assignment Agreement”) is entered into as of December 13, 2007 (the “Effective Date”) by and between THEGLOBE.COM, INC., a Delaware corporation (“theglobe”), and TRALLIANCE CORPORATION, a New York corporation (“Tralliance” and collectively with theglobe, the “Assignors”), and SEARCH.TRAVEL, LLC, a Florida limited liability limited company (the “Assignee”).
