This Agreement and Plan of Merger is entered into as of December 18, 2007, by and among CUSTOMER ACQUISITION NETWORK HOLDINGS, INC., a Delaware corporation (“Parent”); OPTIONS ACQUISITION SUB, INC., a Delaware corporation (“Buyer”); OPTIONS NEWSLETTER, INC., a Florida corporation (the “Company”); and HAGAI SHECHTER, the holder of all of the capital stock of the Company (the “Stockholder”).
