ASSET PURCHASE AGREEMENT (this “Agreement”), dated November 15, 2007, by and among Iconix Brand Group, Inc., a Delaware corporation (“Buyer”), Exeter Brands Group LLC, an Oregon limited liability company (“Seller”) and NIKE, Inc., an Oregon corporation (“Parent”).
