THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”) is made and entered into by and among Infobionics, Incorporated, a Minnesota corporation (the “Company”) and the individual and/or entity who executes this Agreement as a purchaser (a “Purchaser”) of units of the Company’s securities, each unit consisting of four (4) shares of common stock, two (2) callable common stock purchase warrants and two (2) non-callable common stock purchase warrants (collectively, the “Unit(s)”). The callable and non-callable warrants are sometimes collectively referred to herein as the “Warrants”).
