The parties hereto entered into that certain Amended and Restated Receivables Purchase Agreement dated as of April 4, 2006, as amended from time to time prior to the date hereof (the “Existing Agreement”). Subject to the conditions hereinafter set forth, the parties wish to amend and restate the Existing Agreement from and after the date hereof as set forth in this Agreement.
