This EXECUTIVE EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of the 31st day of December, 2007, by and between CLEAR SKIES HOLDINGS, INC., a Delaware corporation with offices at 5020 sunrise Highway, Suite 227, Massapequa Park, New York 11762 (the “Corporation”), and ARTHUR L. GOLDBERG, an individual residing at 34 Oak Avenue, Larchmont, New York 10538 (“Executive”).
