This Amendment (the “Amendment”) dated as of December 30, 2007 is among BluePhoenix Solutions Ltd. (“BluePhoenix” or the “Purchaser”), Codestream Software Ltd. (“Codestream”) and those individuals or entities listed on Exhibit A hereto (collectively the “Grantees” and each a “Grantee”).

(the “Sub”), a Texas corporation, Amalgamated Software of North America, Inc. (the “Company”), a Texas corporation, a committee comprised of each of Stuart Simke, Anne Ferguson and Phil Holthouse (collectively, the “Representative”) and the shareholders of the Company named at the end of this agreement (the “Principal Shareholders”).
