THIS EXECUTIVE EMPLOYMENT AGREEMENT (the "Agreement") is entered into and made effective as of September 1, 2007 (the "Effective Date"), by and between Homeland Security Capital Corporation., a Delaware corporation, having its principal offices at 1005 North Glebe Road, Suite 550, Arlington, Virginia 22201 (the "Company"), and C. Thomas McMillen, whose address is 1103 South Carolina Avenue, S.E., Washington, D.C. 20003 (the "Executive").
