STOCK OPTION AGREEMENT dated as of April 11, 2008 (the "Agreement"), between WIRELESS TELECOM GROUP, INC., a New Jersey corporation (the "Company"), and Lawrence D. Henderson (the "Optionee"). Optionee acknowledges that Optionee has received, read and understood the Plan and this Agreement and agrees to abide by and be bound by their terms and conditions.
