STOCK PURCHASE AGREEMENT, dated as of April 15, 2008 but effective as of the Closing Date (defined herein) (this “Agreement”), by and among Cyberspace Vita, Inc., a Nevada corporation (the “Company”), Henry C. Casden (the “Seller”) and the entities listed on Exhibit A (the “Purchaser”).
