This Registration Rights Agreement (the “Agreement”) is made and entered into as of this 12th day of May, 2008 by and among Global Services Partners Acquisition Corp., a Delaware corporation (the “Company”), and the “Investors” named in that certain Purchase Agreement by and among the Company and the Investors (the “Purchase Agreement”), it being understood that execution by an Investor of the Purchase Agreement shall be deemed execution of this Agreement by the Investor.
