This Purchase and Sale Agreement (this “Agreement”) is made and entered into this _____ day of _______________, 2008, by and between Geochem Exploration, LLC, a Wyoming limited liability company (the “Seller”), and Ameriwest Energy Corp., a Nevada corporation (the “Buyer”).
