AMENDMENT NO. 1 dated as of June , 2008 (the "Amendment") to the Amended and Restated Deposit Agreement dated as of April 22, 2002 as further Amended and Restated as of December 15, 2002 (as so further amended and restated, the "Deposit Agreement"), among Public Joint-Stock Company "Southern Telecommunications Company" (the "Company"), incorporated under the laws of The Russian Federation, JPMorgan Chase Bank, N.A., as depositary (the "Depositary"), and all Owners and Beneficial Owners from time to time of American Depositary Receipts ("Receipts") issued thereunder.
