THIS STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of July 3, 2008, by and among Icahn Enterprises Holdings L.P., a Delaware limited partnership (“IEH”), IEH FM Holdings LLC, a Delaware limited liability company (“Buyer”), the sole member of which is IEH, Thornwood Associates Limited Partnership, a Delaware limited partnership (“Seller”) and Barberry Corp., a Delaware corporation and the general partner of Thornwood (“Barberry”).
