This PATENT PURCHASE AGREEMENT (this “Agreement”) is entered into, as of the Effective Date (defined below), by and between Wegener Communications, Inc., a Delaware corporation, with an office at 11350 Technology Circle, Duluth, GA 30097 (“Seller”) and EPAX Consulting Limited Liability Company, a Delaware limited liability company, with an address at 2711 Centerville Road, Suite 400, Wilmington, DE 19808 (“Purchaser”).
