EMPLOYMENT AGREEMENT dated as of May 1, 2008 (this “Agreement”), between ICAHN ENTERPRISES HOLDINGS L.P. (the “Company”) and Mr. Dominick Ragone (“Employee”). Company and Employee may hereinafter be referred to jointly as the "Parties."
