This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”) is made this 5th day of August, 2008, by and between Albany Molecular Research, Inc., a Delaware corporation (the “Company”), and W. Steven Jennings (the “Executive”).
