This Executive Incentive, Change of Control Retention and Severance Agreement (the "Agreement") is made and entered into as of August 19, 2008 (the "Effective Date"), by and between Solar Enertech Corp. (the “Company”) and China New EnerTech, Inc., a company incorporated in the Cayman Islands (the “Cayman Co.”), and solely with respect to Section 4.8, Solar Enertech (Shanghai) Co., Ltd., and solely with respect Sections 4.9 through 4.12 hereof, Leo S. Young.
