FOR VALUE RECEIVED, ____________________ (“Warrantholder”), is entitled to purchase, subject to the provisions of this Series D Warrant (the “Warrant”), from Ardmore Holding Corporation, a Delaware corporation (“Company”), at any time prior to 5:00 P.M., New York City time on June 6, 2011 at an exercise price per share equal to the Warrant Price (as defined), ___ shares (“Warrant Shares”) of the Company’s Common Stock, par value $0.001 per share (“Common Stock”).
