The foregoing Annual Bonus and Maximum Bonus, although expressed in United States dollars, shall be calculated in HUF and paid to the Executive and Horvath in HUF at the actual USD/HUF exchange rate published by the Hungarian National Bank on the day of the payment.

THIS STOCK EXCHANGE AGREEMENT (this “Agreement”) is made and entered into as of September 29th 2008, by and among SOLAR THIN FILMS, INC., a Delaware corporation (the “Parent”); KRAFT ELEKTRONIKAI ZRT, a Hungarian corporation, to be renamed STF TECHNOLOGIES, LTD. (the “Buyer”); BUDASOLAR TECHNOLOGIES CO. LTD., a Hungarian corporation (the “Company”); NEW PALACE INVESTMENTS LTD., a Cyprus corporation (“NPI”); ISTVAN KRAFCSIK, an individual (“I. Krafcsik”); and ATTILA HORVATH, an individual (“A. Horvath”). NPI, I. Krafcsik and A. Horvath are sometimes individually referred to as a “Company Stockholder” and collectively, as the “Company Stockholders.” The Parent, the Buyer, the Company, and the Company Stockholders are hereinafter sometimes individually referred to as a “Party” and collectively referred to as the “Parties.”

BudaSolar agrees to provide Kraft with technical and consultancy services and cooperate in the area of improvements to the Kraft single product line consisting of equipment and components that are used to manufacture amorphous silicon solar panels or modules (the “Products”).

(f/k/a Kraft Elektronikai Zrt), a Hungarian corporation (the “Company”), and the shareholders of the Company (each a “Shareholder” and collectively the “Shareholders”) who are listed (together with their Affiliates) on Schedule A attached hereto, and any other person(s) or entity(ies) who may hereafter become a party to this Agreement.

In addition to Kraft and BudaSolar, other parties to the stock exchange agreement are Istvan Krafcsik, president of BudaSolar, Attila Horvath, chief operating officer of BudaSolar, New Palace Investments Ltd., wholly owned by Krafcsik and Horvath (Krafcsik, Horvath and New Palace Investments, collectively the “BudaSolar stockholders”).
