This Agreement (the “Agreement”) is executed on August 20, 2008 and made effective as of the Effective Date (as defined below), by and between Document Security Systems, Inc., a New York corporation (“DSS”), having an office at 28 East Main Street, Suite 1525, Rochester, New York 14614, and Trebuchet Capital Partners, LLC, a limited liability company formed under the laws of Delaware (“TREBUCHET”), having an office at 609-3 Cantiague Rock Road, Westbury, New York 11590. DSS and TREBUCHET are together referred to herein as the “Parties” or either of them as the context makes clear is referred to as a “Party.”
