THIS EMPLOYMENT AGREEMENT (the “Agreement”), dated the 19th day of December, 2008, amends and restates, effective as of January 1, 2009, that certain employment agreement dated as of October 16, 2001 and amended July 15, 2005 (the “Prior Agreement”), by and between NovaMed Management Services, LLC, a Delaware limited liability company (the “Company”) and a wholly owned subsidiary of NovaMed, Inc. (the “Parent”), and Scott T. Macomber (“Employee”).
