THIS ASSET PURCHASE AGREEMENT (“Agreement”) is made and entered into as of December 31, 2008 (“Effective Date”), by and among Isotec, Inc., a Colorado corporation (“Seller”), WorldAm, Inc., a Nevada corporation (the “Shareholder”) and Isotec Security, Inc., a Colorado corporation (“Purchaser”).
