This Agreement for the Exchange of Common Stock (hereinafter referred to as the “Agreement”) is made this 31st day of December, 2008, by and between Meltdown Massage & Body, Inc., a Nevada corporation, (the “Issuer”), Pro-Tech Fire Protection Systems Corp, a California corporation (the “Company”) and the Shareholders of the Company listed in Exhibit “A” (hereinafter referred to as the “Shareholders”). The Issuer, Company, and Shareholders are hereinafter referred to collectively as the “Parties”.
