This EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of this 12th day of February, 2009, by and between Koan-It Corp., a company incorporated under the laws of Canada (the “Company”) and Tim Stratton (“Executive”); subject to the condition that this Agreement shall become effective only upon the closing of the transactions contemplated by that certain Share Purchase Agreement (the “Purchase Agreement”) by and among Emtec Infrastructure Services Corporation, a Delaware corporation (“Parent”), 7119747 Canada Inc. a company incorporated under the laws of Canada (“Buyer”), the Company and the shareholders of the Company listed on the signature pages thereto, dated as of the date hereof (the “Effective Date”).

THIS SHARE PURCHASE AGREEMENT is made and entered into as of February 12, 2009, by and among 7119747 Canada Inc., a company incorporated under the laws of Canada (“Buyer”), Emtec Infrastructure Services Corporation, a Delaware corporation (“Parent”), KOAN-IT Corp., a company incorporated under the laws of Canada (the “Company”), and the shareholders of the Company listed on the signature pages hereto (each, a “Shareholder” and collectively, the “Shareholders”).
