EGPI Fircreek, Inc. on behalf of itself and all of its wholly owned subsidiaries (“EGPI”) and Dutchess Private Equities Fund, Ltd. (“Dutchess”) on the other, hereby enter into this agreement concerning their rights and participation in certain oil and gas property interests.
