This Memorandum of Agreement (“MOA”) is entered into on August 14, 2009 by and among Florida Gaming Corporation, a Delaware corporation (“FGC”), Solomon O. Howell (“Howell”) and James W. Stuckert (Stuckert”). Howell and Stuckert sometimes are referred to herein individually as a “Lender” or, collectively, as the “Lenders”.
