SMART ONLINE, INC., a Delaware corporation (“Seller”), for the sum of $200,000.00 (the “Purchase Price”), the receipt and sufficiency of which is hereby acknowledged, does hereby sell, transfer, assign, convey and deliver to Crystal Management Ltd., as agent (“Purchaser”), for the ratable benefit of the holders of the Seller’s Convertible Secured Subordinated Promissory Notes (the “Notes”), all of Seller’s right, title and interest in and to the and equipment and other personal property listed on Schedule I, attached hereto (collectively, the “Personal Property”). The Purchase Price represents a reduction, on a ratable basis, in outstanding principal amount of the Notes, effective as of the date hereof.

THIS AGREEMENT TO LEASE EQUIPMENT ("Lease") is made on September 4, 2009, and effective as of September 1, 2009, by and between Crystal Management Ltd., as agent for those certain investors parties to the Convertible Secured Subordinated Note Purchase Agreement, dated as of November 14, 2007, as amended (such agent, acting on behalf of those investors, referred to herein as "Lessor"), and Smart Online, Inc., a Delaware corporation ("Lessee").
