THIS AGREEMENT (the “Agreement”), made effective this 16th day of September, 2009 (“Effective Date”) by and between KEY-SYSTEMS, GMBH, a limited liability company duly organized under the laws of the Country of Germany, (hereinafter “KEY-SYSTEMS”), and DOT VN, Inc., a corporation duly organized under the laws of the State of Delaware (hereinafter “DOT VN”) (referred to collectively as the “Parties”).
