THIS AMENDED AND RESTATED MASTER CREDIT FACILITY AGREEMENT is made as of the 2nd day of December, 2009, by and among (i) the parties listed on Schedule I attached hereto, each as a Borrower hereunder; (ii) RED MORTGAGE CAPITAL, INC., an Ohio corporation; (iii) FANNIE MAE, a body corporate duly organized under the Federal National Mortgage Association Charter Act, as amended, 12 U.S.C. § 1716 et seq. and duly organized and existing under the laws of the United States, and (vi) EDUCATION REALTY TRUST, INC., a Maryland corporation, and EDUCATION REALTY OPERATING PARTNERSHIP, LP, a Delaware limited partnership, as guarantor and amends and restates in its entirety the Master Credit Facility Agreement dated as of December 31, 2008 by and among the Borrowers as of the Initial Closing Date, Lender and Guarantors.
