STOCK PURCHASE AGREEMENT (this “Agreement”) made as of this 8th day of February, 2010 among BBV VIETNAM S.E.A. ACQUISITION CORPORATION, a Marshall Islands corporation (“Buyer” or “BBV”), VICTORY PARK SPECIAL SITUATIONS MASTER FUND, LTD.
