AGREEMENT AND PLAN OF MERGER (“Agreement”) made this 9th day of February, 2010 by and among T.O.D. Taste on Demand Inc., a Nevada corporation (the “Parent”), China Environmental Protection Inc., a Nevada corporation wholly owned by the Parent (the “Merger Sub”), Dragon Path International Limited, a British Virgin Islands corporation (the “Company”), and Weihau Zhao, the sole shareholder of the Company (the “Sellers”).
