THIS AGREEMENT made as of the 31st day of July, 2009 , by and between STATE STREET INSTITUTIONAL INVESTMENT TRUST, a Massachusetts business trust, having its principal office and place of business at State Street Financial Center, One Lincoln Street, Boston, Massachusetts 02110 (the “Fund”), on behalf of itself and each of the entities listed on Schedule A separately and not jointly, and BOSTON FINANCIAL DATA SERVICES, INC., a Massachusetts corporation having its principal office and place of business at Two Heritage Drive, North Quincy, Massachusetts 02171 (the “Transfer Agent”).
