THIS MASTER SERVICING AND TRUST AGREEMENT, dated as of April 1, 2006 (this “Agreement”), is hereby executed by and among GS MORTGAGE SECURITIES CORP., a Delaware corporation (the “Depositor”), U.S. BANK NATIONAL ASSOCIATION (“U.S. Bank”), as trustee (in such capacity, the “Trustee”) and as a custodian, WELLS FARGO BANK, N.A. (“Wells Fargo”), as a custodian, DEUTSCHE BANK NATIONAL TRUST COMPANY (“Deutsche Bank”), as a custodian, JPMORGAN CHASE BANK, NATIONAL ASSOCIATION (“JPMorgan”), as a custodian, (Wells Fargo, Deutsche Bank, JPMorgan and U.S. Bank, each a “Custodian” and together the “Custodians”), as master servicer (in such capacity, the “Master Servicer”) and as securities administrator (in such capacity, the “Securities Administrator”).
