This Purchase and Sale Agreement (“Agreement”) is made this 6th day of November, 2009 (the “Effective Date”), by and between Stanford Venture Capital Holdings, Inc., a Delaware corporation (“Seller”), and certain insiders of Senesco Technologies, Inc., a Delaware corporation (the “Company”), signatory hereto (each, a “Buyer” and, collectively, the “Buyers”) (Seller and Buyers being sometimes hereinafter referred to, collectively, as the “Parties,” and each, individually, as a “Party”).
