This Non-Qualified Stock Option Agreement certifies that, pursuant to the Metropolitan Health Networks, Inc. (the “Company”) Omnibus Equity Compensation Plan (the “Plan”), the Compensation Committee has granted an option to purchase shares of common stock, par value $.001 per share (the “Common Stock”) of Metropolitan Health Networks, Inc. as stated below. Capitalized terms used herein and not defined shall have the meaning ascribed to such terms in the Plan.
