THIS RESTRICTED STOCK AWARD AGREEMENT (this “Agreement”) is made and entered into as of the 13th day of April, 2010 between Education Realty Trust, Inc., a Maryland corporation (together with its subsidiaries, the “Company”), and Randall L. Churchey (the “Grantee”).
