This SECURITY AGREEMENT, dated as of April 23, 2010 (this “Agreement”), is among Intellect Neurosciences, Inc., a Delaware corporation (the “Company”), all of the Subsidiaries of the Company (such subsidiaries, the “Guarantors” and together with the Company, the “Debtors”) and the holders of the Company’s Secured Convertible Notes dated April 23, 2010, in the original aggregate principal amount of $580,000 (collectively, the “Notes”) signatory hereto, their endorsees, transferees and assigns (collectively, the “Secured Parties”).

THIS SUBSCRIPTION AGREEMENT (this “Agreement”), is dated as of April 23, 2010, by and between Intellect Neurosciences, Inc., a Delaware corporation (the “Company”), and the subscribers set forth on the signature pages affixed hereto (each a “Subscriber” collectively the “Subscribers”).

This Guaranty (the “Guaranty”), dated as of April 23, 2010, is entered into by Intellect Neurosciences, USA, Inc., a Delaware corporation (“Guarantor”), for the benefit of the Collateral Agent identified below and the parties identified on Schedule A hereto (each a “Lender” and collectively, the “Lenders”).
