The purpose and intent of this agreement is to establish terms and conditions of a Selling Agreement (“Agreement”) between [*], and Investors Mortgage Holdings, Inc. (“IMH”) whereby Registered Representatives (“Brokers”) through [*] shall locate and introduce clients to IMH and promote the sale of securities offered through a private placement memorandum offered through an affiliate of IMH, namely IMH Secured Loan Fund, LLC.
