This TWELFTH AMENDMENT TO CREDIT AGREEMENT (this “Amendment”), dated as of June 4, 2010, is entered into by and among THE GYMBOREE CORPORATION, a Delaware corporation (the “Company”), each other Borrower named in the signature pages hereof (together with the Company, each a “Borrower” and, collectively, the “Borrowers”), and BANK OF AMERICA, N.A.
