This Consulting Agreement (the "Agreement") is made and entered into as of October 6, 2010 by and between IntraLinks Holdings, Inc. and/or one or more of it subsidiaries ("Company"), and Gary Hirsch, residing at 331 Thayer Pond Road, Wilton, CT 06897, ("Contractor"). Company desires to retain Contractor as an independent contractor to perform consulting services for Company and Contractor is willing to perform such services, on terms set forth more fully below. In consideration of the mutual promises contained herein, the parties agree as follows:
