STOCK PURCHASE AGREEMENT (the “Agreement”), dated as of November 3, 2010, by and among Hyperdynamics Corporation, a corporation organized under the laws of the State of Delaware, with its principal offices at 12012 Wickchester Lane, Suite 475, Houston, Texas 77079 (the “Company”), and the investors listed on the Schedule of Buyers attached hereto (each, a “Buyer,” and collectively, the “Buyers”).
