THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of this 28th day of December, 2010, by and between Rio Vista GP, LLC, a Delaware limited liability company (the “Company”), and Carter R. Montgomery, a Texas resident (“Employee”).

This Second Amendment to the First Amended and Restated Agreement of Limited Partnership of Rio Vista Energy Partners L.P., dated effective as of 3:00 p.m. Central Standard Time, December 28, 2010 (the “Second Amendment”), is entered into by and between Central Energy GP LLC, a Delaware limited liability company, as the General Partner, and the Limited Partners of Rio Vista Energy Partners L.P., a Delaware limited partnership (the “Partnership”). Capitalized terms used, and not otherwise defined, herein shall have the same meaning as set forth in the First Amended and Restated Agreement of Limited Partnership of the Partnership dated as of September 16, 2004 as amended by a First Amendment dated as of October 26, 2005 (the “Partnership Agreement”).

This First Amendment to the Amended and Restated Limited Liability Company Agreement of Rio Vista GP, LLC, dated effective as of 11:00 a.m. Central Standard Time December 28, 2010 (the “First Amendment”), is executed by Central Energy, L.P. a Delaware limited partnership (“Central LP”), in its capacity as the sole Member of Rio Vista GP LLC (the “Company”). Capitalized terms used, and not otherwise defined, herein shall have the same meaning as set forth in the Amended and Restated Limited Liability Company Agreement of the Company dated as of September 16, 2004 as amended to date (the “Operating Agreement”).
