STOCK PURCHASE AGREEMENT, dated as of January 22nd, 2011 (this "Agreement"), by and among Sunrise Real Estate Group, Inc. ("Issuer " and “Company”), having an office and address at No. 333, Floor 7th, Zhaojiabang Road, Shanghai China, and Better Time International Limited, a company organized under the laws of the British Virgin Island, having an office and address at P.O. Box 957 Offshore Incorporation Centre, Road Town, Tortola ("Purchaser”).
