This Patent Purchase Agreement ("Patent Purchase Agreement"), made and entered into this 19th day of January, 2011 (the “Effective Date”), is by and between Protect Pharmaceutical Corporation, a corporation organized and existing under and by virtue of the laws of the State of Nevada, having an office and place of business at 116 Village Boulevard, Suite 200, Princeton, NJ 08540 ("Seller"); and Grünenthal GmbH, a company organized under the laws of Germany, having offices at Zieglerstraße 6, 52078 Aachen/Germany (“Buyer”). Seller and Buyer are also referred to individually as a “Party” and collectively as the “Parties."
